1. Definitions
"Company" refers to TreeChain Technologies, operator of the GlyphJammer Encryption API
and all related services including but not limited to TreeSplink, TreeBook, TreeCoin, and Intake.dental integrations.
"Affiliate" refers to the individual or entity accepted into the GlyphJammer Affiliate Program.
"Referred Customer" refers to any new customer who signs up for GlyphJammer API services
through the Affiliate's unique referral link within the attribution window.
"Commission" refers to the percentage of net revenue earned from Referred Customers
paid to the Affiliate under this agreement.
2. Commission Structure
- Base commission rate: 20% of net monthly API revenue from Referred Customers.
- Commission is calculated on net revenue after refunds, chargebacks, and platform fees.
- Tiered rates apply as outlined on the Affiliates page: 20% base, up to 30% for high-volume affiliates.
- Healthcare/dental vertical referrals include a one-time $200 bonus per converted practice.
- Commissions are recurring for the lifetime of the Referred Customer's account, subject to Section 7.
3. Attribution & Tracking
- Attribution window: 90 days from first click on affiliate referral link.
- Last-click attribution model. If multiple affiliates refer the same customer, the most recent referral within the attribution window receives credit.
- Affiliate tracking is cookie-based with server-side backup via API key metadata.
- Self-referrals are prohibited. Affiliates may not earn commission on their own accounts.
4. Payment Terms
- Minimum payout threshold: $50 USD.
- Payment schedule: Net-30. Commissions earned in Month N are paid by the end of Month N+1.
- Payment methods: Bank transfer (ACH/SWIFT), PayPal, or TREE token (at current market rate).
- Affiliate is responsible for all applicable taxes on commission income.
5. Permitted Promotion
- Affiliate may promote GlyphJammer through blog posts, social media, email newsletters, tutorials, videos, and direct outreach.
- Affiliate must clearly disclose the affiliate relationship in all promotional content per FTC guidelines.
- Affiliate may not bid on "GlyphJammer", "TreeChain", or "TreeCoin" branded keywords in paid search advertising without written approval.
- Affiliate may not make false or misleading claims about GlyphJammer's security, compliance status, or capabilities.
6. Prohibited Activities
- Spam, unsolicited bulk email, or any form of unsolicited mass communication.
- Cookie stuffing, click fraud, or artificial inflation of referral metrics.
- Misrepresenting the affiliate relationship as an employment or agency relationship.
- Using GlyphJammer trademarks in domain names without written approval.
- Any activity that violates applicable laws, including data protection regulations (GDPR, CCPA, HIPAA).
7. Term & Termination
- This agreement is effective upon acceptance and continues until terminated by either party.
- Either party may terminate with 30 days written notice.
- Company may terminate immediately for violation of Section 6 (Prohibited Activities).
- Upon termination, Affiliate will receive earned but unpaid commissions for the final 60 days.
- Recurring commissions cease 60 days after termination.
8. Limitation of Liability
Company's total liability under this agreement shall not exceed the total commissions paid to Affiliate
in the 12 months preceding any claim. Company is not liable for indirect, incidental, or consequential damages.
GlyphJammer API is provided "as-is" for affiliate promotion purposes.
9. Modifications
Company reserves the right to modify commission rates, attribution windows, and program terms
with 30 days notice. Continued participation after notice constitutes acceptance.
Material changes to commission rates will not apply retroactively to existing Referred Customers
for a period of 6 months.
10. Governing Law
This agreement is governed by the laws of the State of Delaware, United States.
Any disputes shall be resolved through binding arbitration under AAA Commercial Rules.
